Acceptance of Terms
By accessing our website at ambduz.com, registering for an account, subscribing to any plan, or using any feature of our Real Estate CRM platform or associated applications (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.
⚠ If you do not agree to these Terms, you must not access or use the Services. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Communication Consent (TRAI / NDNC Notice):
We collect personal details like your name, email address, and phone number. By sharing your information with Ambduz — whether through our website, contact form, CRM platform, or any other channel — you authorize Ambduz to contact you via SMS, RCS, WhatsApp, Email, and other communication channels for the purposes of service delivery, support, marketing, and updates. This consent overrides any NDNC/DND registration as per TRAI regulations.

| "Subscription Plan" | The paid tier selected by the Subscriber that governs access levels, user limits, and features. |
| "CRM" | Customer Relationship Management — the core functionality of the Ambduz platform for managing real estate leads, clients, and property pipelines. |
Description of Services
Ambduz provides a cloud-based, Software-as-a-Service (SaaS) Real Estate CRM platform designed for real estate agents, brokers, developers, and property management businesses. Our Services include, but are not limited to:
- Lead capture and management for property buyers, sellers, and renters
- Contact and client database management
- Property listing and pipeline tracking
- Communication tools (call logs, notes, follow-up reminders)
- Team collaboration and task assignment features
- Reporting and analytics dashboards
- Integration capabilities with third-party tools (subject to availability)
- Mobile application access (iOS and Android, where available)
Ambduz reserves the right to modify, add, or discontinue features of the Services at any time. We will provide reasonable advance notice for material changes that may affect your use of the platform.
Eligibility
To access and use the Services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts under the Indian Contract Act, 1872 and laws applicable in your jurisdiction
- Not be barred from receiving or using services under applicable laws
- If registering on behalf of an organisation, have proper authority to bind that organisation
Use of the Services by minors or persons without legal capacity is strictly prohibited. We reserve the right to terminate accounts found to be in violation of these eligibility requirements.
User Accounts
5.1 Account Registration
You must register for an account by providing accurate, current, and complete information. You agree to maintain and update your account information to keep it accurate and current.
5.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at [email protected] if you suspect any unauthorised use of your account. Ambduz will not be liable for any losses arising from unauthorised access resulting from your failure to safeguard your credentials.
5.3 Account Accuracy
You must not create accounts using false information or impersonate any other person or entity. One individual may not maintain multiple accounts without prior written consent from Ambduz.
5.4 Team Members
Subscribers may invite team members (seat users) to their account up to the limit permitted by their Subscription Plan. Subscribers are responsible for all activity performed by their invited team members under the Subscriber's account.
Subscription & Billing
6.1 Plans and Pricing
Ambduz offers various subscription plans with different features and usage limits. Current pricing is available at ambduz.com/pricing. All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.
6.2 Billing Cycle
Subscriptions are billed on a recurring basis — monthly or annually depending on the plan selected. Billing is processed automatically at the start of each billing period.
6.3 Payment Processing
All payments are processed securely through Razorpay, our authorised payment gateway partner. By subscribing, you authorise Ambduz and Razorpay to charge your selected payment method for applicable fees. Razorpay's Terms of Service and Privacy Policy govern the payment transaction.
6.4 Free Trials
Where a free trial is offered, it is limited to one free trial per business entity. At the end of the trial period, your account will automatically convert to the selected paid plan unless you cancel before the trial ends.
6.5 Refund Policy
Subscription fees are non-refundable except where required by applicable Indian consumer protection law. If you believe you have been charged incorrectly, contact us within 7 days of the charge at [email protected]. We will review and respond within 10 business days.
6.6 Upgrades & Downgrades
You may upgrade your plan at any time; changes take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle. Downgrading may result in reduced access to features or data.
6.7 Late Payments & Suspension
If a payment fails or is overdue by more than 7 days, we reserve the right to suspend access to the Services until payment is made. Accounts unpaid for more than 30 days may be terminated and data may be deleted after a further 30-day grace period.
6.8 Taxes
You are responsible for all applicable taxes (including GST) associated with your use of the Services, except for taxes on Ambduz's income. If required by law, Ambduz will collect and remit applicable taxes on your behalf.
Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services to:
- Violate any applicable Indian or international laws or regulations, including the IT Act, 2000, DPDP Act, 2023, or RERA
- Upload, store, or transmit any data that infringes on the intellectual property rights of others
- Transmit unsolicited commercial communications (spam) to leads or contacts stored in the CRM
- Collect or store personal data of individuals without their lawful consent as required under DPDP Act, 2023
- Attempt to gain unauthorised access to other users' accounts or any part of the platform's infrastructure
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services
- Resell, sublicense, or otherwise commercialise access to the Services without explicit written permission from Ambduz
- Use automated means (bots, scrapers, crawlers) to access or extract data from the platform
- Upload malicious code, viruses, or any content intended to damage or disrupt the Services
- Engage in any fraudulent real estate activity, misrepresentation, or deceptive practices through the platform
- Harass, harm, or discriminate against any person on the basis of any protected characteristic
⚠ Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund and may be reported to appropriate legal authorities.
Intellectual Property
8.1 Ambduz's Intellectual Property
The Ambduz platform, including its software, design, code, trademarks, logos, brand identity, and all related content ("Ambduz IP"), is the exclusive property of Ambduz and is protected under Indian and international intellectual property laws. Nothing in these Terms grants you any ownership rights in the Ambduz IP.
8.2 Licence to Use Services
Subject to payment of applicable fees and compliance with these Terms, Ambduz grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business purposes.
8.3 Your Data Ownership
You retain full ownership of all User Data you upload to or create within the Ambduz platform. By using the Services, you grant Ambduz a limited, worldwide, royalty-free licence to process your User Data solely as necessary to provide and improve the Services and as described in our Privacy Policy. We do not claim ownership of your data.
8.4 Feedback
If you provide suggestions, feedback, or ideas about the Services ("Feedback"), you grant Ambduz an unrestricted, perpetual, irrevocable licence to use such Feedback for any purpose without compensation to you.
Data & Privacy
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Key data commitments include:
- We process your data only as described in the Privacy Policy and as necessary to provide the Services.
- You are responsible for obtaining all necessary consents from individuals whose data you enter into the CRM, in compliance with DPDP Act, 2023 and any other applicable data protection laws.
- As a Subscriber, you act as the Data Controller for your CRM data; Ambduz acts as the Data Processor on your behalf.
- We implement reasonable technical and organisational security measures as described in the Privacy Policy.
- Upon termination of your account, you may export your data within 30 days before it is deleted.
Confidentiality
Each party may have access to the other's confidential information in connection with the Services. Each party agrees to keep the other's confidential information strictly confidential and to use it only for the purposes of these Terms. This obligation does not apply to information that:
- Is or becomes publicly known through no breach of this agreement
- Was already known to the recipient prior to disclosure
- Is independently developed without use of the confidential information
- Is required to be disclosed by law, court order, or government authority
Service Availability & SLA
11.1 Uptime Commitment
Ambduz will use commercially reasonable efforts to maintain the availability of the Services with a target uptime of 99% per calendar month, excluding planned maintenance windows and force majeure events.
11.2 Planned Maintenance
We will provide at least 24 hours' advance notice via email or in-platform notification for planned maintenance that may cause service interruption.
11.3 No Guarantee
The Services are provided on an "as available" basis. We do not guarantee uninterrupted or error-free access to the Services. Temporary interruptions do not constitute grounds for a refund or breach of contract, except where stated otherwise in a separate SLA agreement.
11.4 Support
Customer support is available via email at [email protected] during business hours (Monday–Saturday, 10 AM–7 PM IST). Response times vary by subscription plan.
Disclaimers
To the maximum extent permitted by applicable law:
- The Services are provided "as is" and "as available" without warranties of any kind, express or implied.
- Ambduz makes no warranty that the Services will meet your specific requirements or that results obtained will be accurate or reliable.
- Ambduz does not provide legal, financial, or investment advice. Nothing in the platform constitutes advice on property investment, RERA compliance, or real estate law. You should consult qualified professionals for such matters.
- We are not responsible for the accuracy of property data, client information, or other User Data entered into the CRM — the accuracy of such information is solely your responsibility.
Limitation of Liability
To the maximum extent permitted by applicable Indian law, Ambduz's total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Ambduz in the three (3) months immediately preceding the event giving rise to the claim.
In no event shall Ambduz be liable for any:
- Loss of profits, revenue, or data
- Loss of business opportunities or goodwill
- Indirect, incidental, special, consequential, or punitive damages
- Damages resulting from unauthorised access to or alteration of your data (where not due to our gross negligence)
- Damages resulting from any third-party services or integrations
Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable Indian law, including the Consumer Protection Act, 2019.
Indemnification
You agree to indemnify, defend, and hold harmless Ambduz and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use of or access to the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation, including data protection laws
- Your User Data or any content you submit to the platform
- Any claim by a third party relating to your use of the Services
Termination
15.1 Termination by You
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. No refunds are provided for the remaining period of a cancelled subscription, except as required by applicable law.
15.2 Termination by Ambduz
Ambduz reserves the right to suspend or terminate your access to the Services immediately and without notice if you:
- Breach any provision of these Terms
- Fail to pay applicable fees
- Engage in conduct that we reasonably believe is harmful to other users, the platform, or Ambduz's reputation
- Are subject to insolvency, liquidation, or bankruptcy proceedings
15.3 Effect of Termination
Upon termination: (a) your access to the Services will cease; (b) you may export your User Data within 30 days of termination notice; (c) all clauses of these Terms that should reasonably survive termination will continue to apply (including Sections 8, 12, 13, 14, and 16).
Governing Law & Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Specific statutes applicable include the Information Technology Act, 2000, Digital Personal Data Protection Act, 2023, Indian Contract Act, 1872, and Consumer Protection Act, 2019.
16.2 Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties shall first attempt to resolve the dispute through good-faith negotiation for a period of 30 days.
16.3 Arbitration
If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, or appointed per the Act. The seat and venue of arbitration shall be Pune, Maharashtra, India. The language of arbitration shall be English.
16.4 Jurisdiction
Subject to the arbitration clause above, the courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any matter arising from these Terms.
16.5 Consumer Rights
Nothing in this section limits your statutory rights under the Consumer Protection Act, 2019 or any other applicable consumer protection legislation.
Changes to Terms
Ambduz reserves the right to modify these Terms at any time. When we make material changes, we will notify you by:
- Sending a notification to your registered email address at least 14 days before changes take effect
- Displaying a prominent notice on the platform
- Updating the "Last Updated" date at the top of this page
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and cancel your subscription before the effective date.
